Responsibilities and Duties
Responsibilities of the Contracts Associate include but are not limited to the following:
- Review, revise, and negotiate a wide variety of contracts, including clinical placement agreements, academic affiliation agreements, athletics sponsorship agreements, employment agreements, procurement agreements, and others.
- Provide timely and effective customer service to campus officials who rely on third-party contractual agreements to advance university objectives.
- Work collaboratively with campus partners to advance the mission of the university and the objectives of leadership.
- Work closely with the Senior Associate General Counsel who oversees transactional matters to review and revise contract templates and guides.
- Efficiently and effectively elevate complicated contractual issues to the Senior Associate Counsel for legal review and advice.
Telework may be available for this position up to two days per week following the completion of 90 days of service in good standing.
Qualifications and Skills
Required Qualifications:
- Law degree from an ABA-accredited law school;
- Five or more years of experience reviewing, revising, and negotiating contractual agreements;
- Ability to work efficiently and effectively while providing a high level of customer service to internal clients;
- Sophisticated understanding of various contractual issues, including indemnification, risk, and liability;
- Ability to multi-task and be responsive and collegial to a wide variety of clients;
- Excellent interpersonal skills;
- Experience working in a complicated environment with multiple stakeholders;
- Knowledge of state and federal laws and regulations applicable to higher education contracts;
- Ability to exercise sound judgement on challenging issues and perform tasks with professionalism and the highest degree of ethics;
- Ability to work independently on routine contractual matters and to recognize issues of institutional importance and keep the Senior Associate General Counsel appropriately informed; and
- Ability to provide pragmatic, client-oriented solutions that combine contractual considerations with institutional programmatic and policy objectives.
